Job Summary
Uganda Electricity Generation Company Limited (UEGCL) is seeking a qualified and experienced Legal Officer to provide professional legal advisory services to the Company, management, committees and other stakeholders.
The successful candidate will support the Company in litigation management, legal advisory services, contract drafting and review, regulatory compliance, legal research, property and land matters, dispute resolution and other legal assignments. The role requires a proactive legal professional who can manage complex, time-sensitive matters while maintaining high standards of accuracy, confidentiality and professionalism.
Key Responsibilities
A. Litigation
- Represent the Company in court in legal matters.
- Manage assigned cases, including drafting and reviewing court pleadings, preparing witnesses, collecting evidence and conducting legal research.
- Prepare legal opinions on the merits or demerits of cases.
- Maintain accurate and up-to-date case files.
- Participate in Alternative Dispute Resolution (ADR) proceedings on behalf of the Company.
- Prepare bi-monthly reports on the status of litigation matters.
- Liaise with external legal counsel on court cases assigned to them.
- Conduct research on matters before courts and other relevant legal forums.
B. Legal Advisory Services
- Conduct legal research and prepare comprehensive legal opinions for the Legal Manager and Company Secretary.
- Provide legal advice to the Contracts Committee, Evaluation Committee, Management Committee and other committees established by the Company.
- Advise on legal and regulatory issues affecting the Company's business operations.
- Prepare statutory instruments and other legal documents as required.
- Respond to legal queries and complaints from business units and stakeholders.
- Conduct legal due diligence on contracting parties and proposed transactions or investments.
- Draft, review and negotiate contracts and agreements while safeguarding the interests of the Company and relevant user departments.
- Advise on appropriate contract terms and explain their legal implications during contract drafting, review and negotiations.
- Prepare and pursue registration of legal instruments and documents with relevant authorities.
- Support land acquisition processes and monitor leases, property rates and ground rents.
- Initiate and follow up on lease renewals where required.
- Provide secretarial services to management committees and other committees as assigned by the Company Secretary.
- Prepare and submit weekly reports to the Legal Manager on legal matters handled.
C. Legal and Regulatory Compliance
- Assess and advise on the relevance and potential impact of existing and new legislation, regulations and policies on the Company's business.
- Conduct legal and regulatory compliance audits.
- Prepare reports on identified compliance gaps and recommend appropriate corrective action.
- Maintain and regularly update the Company's legal and regulatory compliance matrix.
- Review Company policies to ensure they comply with applicable laws and regulations.
- Prepare monthly, quarterly and bi-annual compliance reports for approval by the Legal Manager and Company Secretary.
- Conduct staff training on emerging legal and regulatory compliance requirements.
- Undertake other legal and compliance assignments as directed by the Legal Manager or Company Secretary.

The Legal Officer will work closely with:
- Heads of Department and other Company staff.
- Management committees.
- Contracts and Evaluation Committees.
- Board of Directors.
- Company Secretary and Legal Manager.
External Contacts
The role will involve liaison with:
- Solicitor General.
- Contractors and consultants.
- Development partners.
- Chief Government Valuer.
- Concessionaires.
- Government agencies.
- External legal counsel and other relevant stakeholders.
Education and Professional Qualifications
Applicants should have:
- A minimum of a Second Upper Honours Degree in Law (LLB) from a recognised university.
- A Postgraduate Diploma in Legal Practice from the Law Development Centre (LDC).
- Must be an Enrolled Advocate.
- Applicants must possess authentic and certified academic and professional documents.
Required Professional Experience
- At least four (4) years of post-enrolment experience in legal practice.
- Experience gained in a busy law firm or reputable organisation.
- Demonstrable experience handling complex, high-stakes and time-sensitive legal matters.
- Strong ability to deliver accurate, client-focused legal services while managing competing priorities.
- Demonstrable ability to use proactive time-management approaches and legal technology.
- Experience working with minimal supervision.
- Experience in construction and other project-related transactions will be an added advantage.
Required Skills and Competencies
Legal Research and Analysis
Strong ability to conduct legal research, interpret legislation and case law, and develop well-reasoned legal opinions and recommendations.
Contract Drafting and Negotiation
Excellent ability to draft, review and negotiate contracts while identifying legal risks and protecting the Company's interests.
Litigation and Trial Advocacy
Practical knowledge of litigation processes, court procedures, pleadings, evidence, trial advocacy and case management.
Dispute Resolution
Strong skills in negotiation, mediation, conciliation and arbitration, with the ability to resolve disputes professionally and effectively.
Compliance Management
Ability to monitor legislative and regulatory developments, conduct compliance audits and maintain an effective legal and regulatory compliance framework.
Conveyancing and Property Law
Knowledge and practical experience in conveyancing, land acquisition, lease management, property-related transactions and registration of legal instruments.
Problem-Solving
Excellent analytical and problem-solving skills, with the ability to assess complex legal issues and develop practical solutions.
Communication and Negotiation
Excellent written and verbal communication skills, including the ability to communicate difficult or contentious legal matters with clarity, diplomacy and confidence.
Professional Judgment and Integrity
Ability to maintain confidentiality, exercise sound professional judgment and take a firm and principled position on important legal issues.
Computer Literacy
Good computer skills and the ability to use digital tools and legal technology to improve legal research, documentation, reporting and case management.
Teamwork and Leadership
Ability to work effectively with colleagues across different departments, contribute to committees and take responsibility for assigned legal matters.
