POSITION
Legal & Board Affairs Manager / Company Secretary Support
JOB PURPOSE
To support the Company Secretary/Head Legal in ensuring that Uganda Airlines complies with all statutory, regulatory, and corporate governance requirements. The role supports the effective operation of Board Meetings, Shareholder Meetings, Board Committees, legal advisory services, contract management, compliance monitoring, policy development, and corporate governance functions.
The position also supports the Legal and Corporate Affairs Department in safeguarding the organization's legal interests while ensuring adherence to best corporate governance practices.
KEY RESPONSIBILITIES
Board & Committee Affairs
• Support the Manager Board Affairs in managing all Board and Shareholder matters.
• Coordinate company secretarial services and governance activities.
• Prepare, format, print, distribute, and file Board and Committee packs.
• Assist in reviewing and formatting Board and Committee minutes.
• Track and follow up on Board resolutions and action items.
• Maintain Board resolution registers and action trackers.
• Ensure information shared with Directors is accurate, timely, and presented in an understandable format.
• Coordinate Board meeting logistics, venues, and facilities.
• Support Board induction programs, training initiatives, and Board evaluations.
• Assist in maintaining records of Board training and governance activities.
Corporate Governance & Compliance
• Support implementation of corporate governance frameworks and codes.
• Ensure adherence to internationally accepted corporate governance principles.
• Assist in responding to Board and Director inquiries regarding governance matters.
• Support Directors in understanding their duties, responsibilities, and obligations.
• Monitor emerging corporate governance developments and best practices.
• Maintain proper custody of legal and governance documents.
• Prepare and file Board and Shareholder resolutions and statutory company forms.
Legal Proceedings & Litigation Management
• Initiate legal proceedings on behalf of Uganda Airlines.
• Represent the organization in courts, tribunals, and arbitration proceedings.
• Prepare pleadings, legal submissions, and court documentation.
• Manage litigation processes and case tracking.
• Liaise with external legal counsel handling company matters.
• Prepare legal reports and recommendations for management.
• Advise management on legal risk mitigation strategies.
Contract Development & Management
• Serve as Committee Secretary to the Contracts Committee.
• Advise on procurement laws, disposal regulations, and contractual compliance.
• Draft, review, negotiate, and manage contracts and agreements.
• Support contract lifecycle management from drafting through execution.
• Guide project managers and staff on contract administration procedures.
• Develop and implement contract management policies and frameworks.
• Ensure company interests are protected through effective risk allocation in contracts.
Policy Development & Legal Advisory Services
• Participate in drafting and reviewing company policies and procedures.
• Recommend policy improvements based on legal and regulatory developments.
• Develop governance, legal, regulatory, and compliance frameworks.
• Monitor legal and regulatory changes affecting the organization.
• Prepare legal opinions and advisory reports for management and the Board.
• Draft memos, official correspondence, and governance documentation.
• Facilitate implementation of Board policies and governance directives.
Regulatory Compliance
• Ensure compliance with the Companies Act and other applicable legislation.
• Maintain statutory registers, records, and corporate filings.
• Support preparation of annual reports and statutory returns.
• Promote legal and regulatory compliance awareness across the organization.
• Follow up on approvals, decisions, and requirements from regulators and external advisors.
Team Leadership & Staff Development
• Mentor, coach, and develop team members.
• Support performance management and capacity-building initiatives.
• Foster a culture of professionalism, accountability, and continuous improvement.
• Contribute to staff training and career development programs.
ACADEMIC QUALIFICATIONS
• Bachelor of Laws (LLB).
• Valid Practicing Certificate.
• Postgraduate Diploma in Legal Practice.
• ICSA Qualification.
ADDED ADVANTAGE
• Master’s Degree in:

PROFESSIONAL EXPERIENCE
• Enrolled Advocate with a valid practicing license.
• Minimum of eight (8) years’ experience in a reputable corporate organization.
• Demonstrated experience handling Board Affairs and Corporate Governance matters.
• Proven experience providing legal advisory services within large organizations.
• Experience in minute taking and Board secretarial functions.
• Experience managing complex corporate transactions.
• Experience handling legal, contractual, and regulatory compliance matters.
• Experience in litigation and dispute resolution.
